Terms of Use
The agreement between you and Nyprel. Please read it before opening an account.
1. Acceptance
By accessing this website or opening an account you accept these terms in full. If you do not accept them, do not use the platform. We may amend these terms and will post the amended version here with a revised date; continuing to use the platform after that date constitutes acceptance.
2. Eligibility
You must be at least the age of majority in your province or territory of residence and have the legal capacity to enter into a binding contract. You must be resident in Canada and act on your own behalf, not for an undisclosed third party.
You are responsible for determining whether using the platform is lawful where you live, and for meeting your own tax obligations on any gains.
3. What we provide
Nyprel provides an automated trading platform: market data, analytical models, order routing and reporting. You set the mandate and the risk band; the engine acts within them.
We do not provide investment advice, recommendations or a suitability assessment. Nothing on this site is an offer or solicitation to buy or sell any instrument, and nothing here should be read as a recommendation that a particular strategy is suitable for you.
4. Acknowledgement of risk
Trading cryptocurrencies and contracts for difference carries a high risk of loss. Prices are volatile, leverage magnifies both gains and losses, and you may lose your entire deposit. You should not trade with money you cannot afford to lose.
You acknowledge that Nyprel is not registered as a dealer or an adviser with the Canadian Securities Administrators or with the Canadian Investment Regulatory Organization (CIRO). Your funds are not deposits and are not insured by the Canada Deposit Insurance Corporation, nor are they covered by the Canadian Investor Protection Fund.
Any performance figure, projection or illustration on this site, including the projection tool, is illustrative. It is derived from historical or assumed inputs, is not a forecast, and does not indicate future results.
5. Your account
You are responsible for the accuracy of the information you give us, for keeping your credentials confidential, and for all activity under your account. Two-factor authentication is mandatory and must not be disabled or shared.
Tell us promptly if you suspect unauthorized access. We may suspend an account where we reasonably suspect fraud, misuse, or a breach of these terms, or where we are required to do so by law.
6. Acceptable use
You must not use the platform to launder money, finance terrorism, evade sanctions, manipulate a market, or on behalf of anyone prohibited from trading. You must not attempt to interfere with the platform, reverse-engineer it, scrape it at scale, or circumvent any access control.
We report suspicious activity to the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC) and other authorities where the law requires it.
7. Fees
Pricing consists of a spread applied to each position and an overnight financing charge where a leveraged position is carried past the close. The applicable schedule is displayed before you confirm an order and is available in the fee section of your account.
We will give at least thirty days\u2019 notice before a change to the schedule takes effect.
8. Intellectual property
The platform, its models, its interface, the Nyprel name and the Nyprel marks belong to us or to our licensors. You get a limited, revocable, non-transferable licence to use the platform for your own trading. You may not copy, redistribute or create derivative works from it.
9. Limitation of liability
To the fullest extent permitted by applicable law, we are not liable for indirect, incidental, special or consequential loss, or for loss of profit, arising from your use of the platform. Nothing in these terms excludes liability that cannot lawfully be excluded, including under consumer protection legislation that applies to you.
We do not warrant that the platform will be uninterrupted or without error, that market data will be without inaccuracy, or that any strategy will achieve a particular result.
10. Governing law, language and contact
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it, and you submit to the non-exclusive jurisdiction of its courts. If you are a Quebec resident, nothing here deprives you of the protection of the mandatory rules of Quebec law.
